The Mission of the Paralegal is to support the legal team, which provides the highest possible service level for prevailing business goals throughout departments across EIS. A high-level overview of the Paralegal’s job responsibilities include, but are not limited to:  legal support, risk assessment, contract review, publisher/content rights management, contracts administration and template maintenance. The Paralegal should understand contract clauses and general legislation, understand potential impact on EIS and provide legal insight that informs key business decisions. The Paralegal will help administer the contract management system, including templates and the clause library, as well as coordinating the translation of international template updates.

 

Primary Responsibilities

  • Provide support to SVP and associate counsel as needed, including drafting of agreements; coordination of contract/RFP review; initial review of proposed agreements.
  • Maintain contract templates for publishers and customers, including international translations
  • Maintain clause library for contract management system, including updated approved template language for use within DocuSign
  • Coordinate with RM to ensure Legal is providing them with all the relevant information they need, including approvals of newly proposed template language.
  • Liaise with Sales, Legal, Brute Squad and System Administrator to ensure that workflows, templates, contract types and reports in CLM (DocuSign) are built/revised as needed to support DDE needs (i.e., tweaks to existing workflows, upcoming work for additional workflows (RFP, InfoSec, FOLIO, international Sales teams, etc.), as well as additional documents that may be added in the future for other business lines, such as BAAs, Security questionnaires, DPAs, and Non-Disclosure Agreements, etc.)
  • Ensure that contracts in system are tagged as necessary as it relates to customer association, document type, and any other metadata fields requested
  • Act as “project manager” for Sales Contacts ensuring that they progress through the queue with internal issues/concerns resolved (security, customer satisfaction, etc.) with proper exceptions or revised wording incorporated into contract.
  • Track and provide visibility into compliance issues, including escalating trends when necessary for business action/reaction (off-shore trends), and working with internal teams to ensure EBSCO complies with contract requirements (i.e., breach notification time periods and contacts emails, reporting requirements, off-shore restrictions, email or publicity restrictions)
  • Share and clarify contract processes, conditions and details with management, business partners and employees
  • Maintain a record/history of license agreement changes over time (i.e., a customer sees that our license agreement has changed, but they want to know specifically what changed.  Need someone to be able to track versions and respond).
  • Support Legal team for special projects (i.e., researching all contracts for specific terms such as “advertising in the interface”)
  • Coordinate trademark renewals
  • Handle copyright permissions
  • Review and execute NDAs
  • Field questions from various departments and handle when possible or pass on to SVP and associate counsel when needed.
  • Serve as backup when SVP and associate counsel are out of office and escalate issues when necessary.
  • Coordinate with Legal team in Birmingham to implement and streamline procedures to ensure compliance.
  • Document processes for Legal Services and make available across departments as necessary.

 

 

Required Qualifications

  • Bachelor's Degree
  • 5+ years in a paralegal role
  • Investigative mind and strong research skills
  • Working knowledge contract management software (DocuSign preferred)

 

Preferred Qualifications

  • Excellent communication and time management skills
  • Strong computer skills, attention to detail and the ability to work independently

 

 

Target Annual Salary Range: $ 71,330 - 101,900
